The author introduces legal analyses of the implementation of ultra virus doctrine in the PRC’s corporate law. The article gives some examples of latest court decisions dealing with ultra virus actions of Chinese corporations. The author also provides some practical legal guidance for Russian companies dealing with Chinese counterparts.
